USAID Supports Corporate Governance Reform in the Gas Transmission System Operator of Ukraine (GTSOU)

The Gas TSO of Ukraine is receiving support from the USAID/UKaid State-Owned Enterprises Reform Activity (SOERA) to improve corporate governance at the GTSOU according to the Target Model agreed by the Ukrainian government and international stakeholders, including the Energy Community Secretariat (EnCS).

The USAID/UKaid SOERA has engaged corporate governance advisors to assist GTSOU in developing internal governance documents, procedures, and policies, and to support the selection process for GTSOU’s Supervisory Board. The associated Memorandum of Understanding outlining this assistance was signed by GTSOU CEO Dmytro Lyppa and SOERA Chief of Party Jonathan Simon.

SOERA advisors will support corporate governance reform at GTSOU by helping develop criteria for selecting SB members and senior executive management, and then supporting the onboarding of selected SB members. In addition, at the request of the GTSOU, SOERA will build GTSOU’s corporate governance capacity.

“It is important for us that corporate reform is launched correctly from the start, in accordance with European legislation and best international practices. After all, the manageability of the Company, the speed of reaction and response to any crisis, its strategic vision depend on this. We are confident that with the support from USAID/UKaid, we will prepare the ground for the new format of GTSOU’s quality work and ensure an increase in efficiency and transparency of the Company,” CEO Dmytro Lyppa said.

GTSOU and USAID have cooperated since 2019 to attract and use international technical assistance to improve Ukraine’s energy security.
